Group Panel vs Group Box

While doing some searching about grouping form items so they can be locked together and moved around like in other graphic programs, I read a group panel is recommended by some  because it is "Light Weight" compared to a Group Box.

What is the criteria to decide which is the best choice for a particular group of items?   I have been using the Group Box primarily because I like the appearance and the ability to include a label without adding anything else but I would like to solicit everyone's view on this.

Probably the biggest difference is the Panel will add scroll bars if content exceeds it size. I also believe the panel has events for mouse actions while the group box does not.
